Empowering Our Heroes and Supporting Healthier Communities
Stramsen Biotech, Inc. believes that scientific progress should create meaningful benefits beyond the laboratory. Through our Corporate Social Responsibility Program, we intend to support qualified nonprofit organizations, healthcare institutions, educators, veterans, first responders, and other community heroes.
Subject to program terms, applicable law, and approval by Stramsen Biotech, the Company intends to allocate up to 100,000 shares of its common stock—or, when authorized by the Company, a cash equivalent after public listing—each year for five years.
These grants are intended to help eligible recipients participate in Stramsen Biotech’s long-term mission while providing resources that may support healthcare, scientific research, humanitarian relief, education, and community service.
Our Areas of Focus
Stramsen Biotech intends to prioritize qualified organizations with demonstrated experience, sound governance, and measurable community impact. Areas of focus may include:

Veterans’ care: Supporting programs that provide healthcare, rehabilitation, housing, counseling, and other essential services to disabled veterans and their families.

Children and education: Helping address generational poverty by expanding access to education, nutrition, healthcare, and other essential resources.

Humanitarian relief: Supporting organizations that provide emergency assistance and sustainable services to refugees and other displaced or vulnerable populations.

Community resilience: Investing in programs that support educators, first responders, emergency personnel, and other professionals who serve their communities.

Healthcare and scientific research: Supporting nonprofit hospitals, colleges, universities, and research institutions engaged in the prevention, treatment, and potential cure of cancer, leukemia, and other serious diseases.
Eligible institutional applicants generally must be recognized as tax-exempt organizations under Section 501(c)(3) of the Internal Revenue Code or otherwise qualify under criteria established by Stramsen Biotech.
The Stramsen Hero Program
The Stramsen Hero Program is intended to recognize individuals whose service strengthens and protects our communities. Subject to annual availability and Company approval, Stramsen Biotech expects to reserve up to 10,000 shares from the program’s annual allocation for individual grants. The 10,000 Hero Program shares are included within the annual 100,000-share allocation.
An eligible individual may receive a one-time grant of up to 100 shares of Stramsen Biotech common stock. Potentially eligible recipients include:

Military veterans and active-duty members of the United States Armed Forces;

Firefighters, police officers, and sheriff’s deputies;

Emergency medical professionals, including EMTs and paramedics;

911 dispatchers and qualifying emergency-management or public-works personnel; and
-
Distinguished educators, including individuals recognized through qualifying “Teacher of the Year” programs.
All applicants will be required to provide documentation establishing their identity, service, qualifications, and eligibility.
Important Program Terms
Participation is not guaranteed. Applications will be reviewed on a first-come, first-served basis, subject to verification, available program allocations, applicable law, and final approval by Stramsen Biotech.
The number of shares awarded to any recipient may vary. Stramsen Biotech will determine grant amounts on a case-by-case basis and may consider eligibility, demonstrated need, anticipated community impact, available shares, legal requirements, and other relevant factors.
Shares awarded under the program may be restricted securities and may be subject to holding periods, transfer restrictions, lock-up agreements, securities-law requirements, tax consequences, and other conditions. Recipients may not be able to sell or transfer their shares immediately—or at all—and no public market for the shares may exist.
The value of Stramsen Biotech shares may increase or decrease, and recipients could realize no financial benefit from an award. Nothing on this page constitutes an offer to sell securities, a solicitation of an offer to purchase securities, investment advice, tax advice, or a guarantee of present or future value.
Any reference to the Company’s enterprise valuation reflects a Company estimate as of the stated valuation date. Enterprise valuation is not the same as the market value of the Company’s common stock and does not establish the value at which donated shares can be sold.
The program’s annual and aggregate allocations may be modified, suspended, exhausted, or discontinued at any time. Stramsen Biotech reserves the right, to the extent permitted by law, to approve or deny any application and to change the program’s eligibility requirements, award amounts, procedures, or terms.
